SUGO's Terms and Conditions

[Introduction]

[Review and Read] Please read carefully and fully understand each clause before using SUGO, especially the clauses that exempt or limit liability, restrictions on minors, etc. Restrictions, exemptions from liability, or other clauses involving your major rights and interests may be highlighted in bold to remind you to pay special attention.

[Age limit] SUGO is only intended for adults aged 18 or above (if the age of majority is greater than 18 years according to local laws, local laws shall apply). If you are under 18 years of age or do not meet the local legal age requirements, please stop using our products and services immediately. If you are a guardian and find that the minors under your guardianship are using our products and services, please notify us in time and we will respond and handle it in time.

You know and acknowledge that due to technical and legal reasons, we cannot directly and effectively identify and verify the identity information of users. In any case, we are not responsible for such actions. SUGO respects the protection of the rights and interests of minors in various countries/regions, and strictly abides by the laws on the protection of the rights and interests of minors in various countries/regions. We will protect the legitimate rights and interests of minors through timely inspections and other means. However, this could not be regarded as our legal obligation and effective guarantee for the verification of the identity information of minors.

[Comply with local laws and regulations] You should comply with local laws and regulations and respect local ethics and customs when using the services provided by SUGO. If your behavior violates local laws and regulations or ethics, you shall bear the responsibility for it independently, SUGO is not responsible for this. You should avoid involving us in public events due to the use of SUGO, otherwise SUGO has the right to suspend or terminate the provision of services to you and promptly cooperate with all investigations and inquiries by the competent authorities. At the same time, we reserve the right to seek compensation from you.

1. Applicability of the Agreement

1.1 [Complete Agreement] The "SUGO's Terms and Conditions", "SUGO's Privacy Policy", "SUGO Community Convention" and other agreements that SUGO has released , as well as future new agreements and rules, are an integral part of this Agreement and together constitute the complete version of this Agreement. We encourage you to review them in a timely manner and read them carefully.

1.2 [Parties to the Agreement and Scope of Binding] This Agreement is signed by Mobile Alpha Limited (hereinafter referred to as "SUGO" or "we" or "us" or "our") and the user of SUGO (hereinafter referred to as "user" or "you"). If you use SUGO, we believe you that you have fully understood this Agreement and agree to abide by it. If you disagree with this Agreement, it will result in us being unable to provide you with services,then please stop using SUGO immediately.

1.3 [Agreement Updates and Reminders] SUGO may modify and update this Agreement from time to time. The updated Agreement will be brought to your attention by appropriate means such as in-site messages. If you do not agree to the modified terms, please immediately stop using the relevant services. If you continue to use it, it will be deemed that you have understood and accepted the modified Agreement.

2. Our Products and Services

2.1 [Product Features]As a product with social attributes, SUGO provides users with technical services such as multi-person voice communication, content sharing, and group joining, aiming to build a friendly, equal, and healthy Internet interactive community.

2.2 [Limited License] We grant you a personal, revocable, non-transferable, non-exclusive and non-commercial right to use SUGO. All other rights not expressly authorized in this Agreement remain reserved by us. Unless we have express prior written authorization, you cannot use SUGO in any unauthorized manner.

2.3 [Ways and Methods to obtain SUGO] You can visit the official website of SUGO, or download and install SUGO from our authorized application store. We develop different application versions for different terminal devices. Please obtain, download and install the official version of SUGO according to the actual terminal device conditions.

2.4 [Flow rate at your own expense] You need to prepare your own mobile phone and other related terminal devices to use SUGO. In order to realize the full functions of SUGO, you need to connect your terminal device to the Internet, and you shall bear the required Internet access fees, flow fees and other expenses.

2.5 [Applicable Regions] Please use the products and services provided by SUGO legally and appropriately only in the jurisdictions where SUGO is officially released, and in compliance with all applicable local laws. If you use SUGO in a jurisdiction other than where SUGO is officially released, you will ensure that your use of SUGO complies with all applicable local laws and assume the corresponding risks and responsibilities.

2.6 [SUGO Updates] In order to improve user experience, or based on the needs of overall service operations, platform security, and compliance operations, we may update or change our products or services from time to time, including but not limited to modifying, upgrading, suspending or terminating related services, providing new services or software package replacements, etc. You can choose whether to update according to your needs. If you choose not to update, some of SUGO's functions may be restricted or not work properly. In order to facilitate your better use of SUGO, we may also remind you to update SUGO at an appropriate time.

3. Registration, Use and Cancellation of SUGO Account

3.1 [Registration]

3.1.1 We provide access to SUGO account registration. You can choose to register a SUGO account by mobile phone number. You can also use the third-party platform account authorization login function we provide to register and log in to SUGO through the user account of the third-party software or platform that you legally own. You should ensure that the user account of the third-party software or platform you use complies with the requirements of relevant laws and regulations.

3.1.2 We do not provide account registration services to minors. If you are a minor, please stop registering and using your account immediately. Otherwise, once discovered, we will immediately take action against the account, including but not limited to blocking an account, suspending services to the account.

3.2 [Account Information Settings]

In order to better provide you with SUGO social services and build a real SUGO interactive community, we recommend that you provide us with real and valid information during the registration process, such as your profile photo, age and gender. You guarantee that you will not provide any false personal information. If the information you submit is inaccurate, untrue, illegal, or we have reason to believe that the above information is doubtful, we have the right to require you to correct, supply, and to refuse to provide you with related services. However, you understand and agree that for security reasons, you may not be able to modify the initial registration information and other verification information.

3.3 [Usage and Safety]

3.3.1 You acknowledge and accept that your SUGO account is for your own use only. You are prohibited from giving, lending, renting, transferring, selling or otherwise permitting others to use the account. If we have reasonable grounds to believe that the user is not the account registrant, we have the right to suspend or terminate the service to the account to protect account security.

3.3.2 You shall maintain the security and confidentiality of your SUGO account and password. You can set a secure login password by yourself through [Change Password]. We encourage you to further strengthen your account security through [Mobile Phone Binding]. If you lose your account or forget your password, you can apply to retrieve your account or password in a timely manner in accordance with our appeal channels. You understand and acknowledge that we only identify whether the verification information provided by the appellant in the appeal is consistent with the system records, and cannot identify whether the appellant is the real owner of the account. If your account is stolen or your password is lost due to your own reasons, such as improper custody, the corresponding losses will be borne by you. If you find that someone else is using your SUGO account without permission, or find any other security loopholes, please notify us immediately and take measures such as changing your password to protect the security of your account.

3.3.3 You are legally responsible for all actions taken under your SUGO account, including but not limited to all legal liabilities that may arise from any information posting, payment, and other operations you perform on SUGO.

3.4 [Account cancellation]

3.4.1 You can cancel your SUGO account buy yourself(ME-Setting-Account and safety-Delete account) or contract us to cancel your SUGO account. Please refer to the SUGO unregistration page for details on the conditions and consequences of account unregistration. Cancellation will result in the elimination of all permissions of your account. Please treat it with caution. After the account is cancelled, we will delete or anonymize the information in the account, unless otherwise specified by local laws, regulations on the storage time or processing method of information.

3.4.2 After your account is unregistered, you will not be able to log in to SUGO with that account, nor will you be able to retrieve any content or information related to your account. After your account is unregistered, you will still be responsible for your actions before unregistration.

3.5 [Account Disposal] If you have violated this Agreement and local laws or any other behavior that is deemed dangerous by SUGO, SUGO has the right to take emergency measures against your account without prior notice. These measures include but are not limited to banning, freezing, and restricting. If you are unable to use your account normally, you will bear the risks and the consequences.

4. User Code of Conduct

4.1[Content Release Specifications]

SUGO is committed to providing a civilized, rational, friendly, and high-quality communication space. When you use SUGO to publish voice, text, video and other content, you know and confirm that you may not publish the following content:

(1) contains profanity or language that may be considered offensive, harassing, disturbing, embarrassing, alarming or annoying to any other person;

(2) that is obscene, pornographic, or otherwise likely to infringe upon human dignity;

(3) that is abusive, insulting or threatening, or that promotes or encourages racism, sexism, hatred or bigotry;

(4) encourage any illegal activity, including but not limited to terrorism, incitement to racial hatred, and hate content;

(5) contains defamatory statements;

(6) related to commercial activities (including but not limited to sales, competitions and advertisements, any links to other websites or pay phone numbers);

(7) involves the transmission of "junk mail" or "spam";

(8) contains any spyware, viruses, corrupted files, worms or other malicious code designed to interrupt, damage or limit or destroy the functionality of any software, hardware, telecommunications, network, server or other equipment, Trojan horses or any other material designed to damage, interfere with, misappropriate or expropriate any data or personal information, whether from SUGO or otherwise;

(9) infringes upon the rights of any third party (including but not limited to intellectual property rights, privacy rights, and portrait rights);

(10) contains indications of drug or substance use;

(11) displays political content;

(12) contains sexual harassment or sexual innuendo;

(13) involving violence and/or self-harm, or encouraging or inducing others to participate in dangerous activities that may cause personal injury or death;

(14) display any information related to minors or any misleading content;

(15) Content that SUGO deems inappropriate under local laws.

4.2 [Prohibited Conduct]

You must not engage in the following behaviors when using SUGO:

(1) illegal intrusion into the network, disruption of normal network operation, theft of network data, and other activities that endanger network security;

(2) reverse engineer our products or take any action that could lead to the discovery of our source code, or circumvent measures that prevent or restrict access to any part of our Services;

(3) attempt to circumvent any content filtering technology we use, or attempt to access any features or areas of our Services that you are not authorized to access;

(4) attempting to interfere with or disrupt the normal operation of the system or website, intentionally spreading malicious programs or viruses, and other destructive behaviors that interfere with normal network information services;

(5) malicious account registration, including but not limited to frequent batch registration of accounts, uploading false registration information, etc;

(6) engage in any harassing, threatening, intimidating, predatory or stalking behavior;

(7) produce or distribute methods or tools related to the above-mentioned activities, or operate or disseminate such methods or tools, regardless of whether such activities are for commercial purposes;

(8) other acts that violate these Terms, any applicable laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of SUGO, or are not expressly authorized by us.

4.3 Please be careful in identifying information. We cannot guarantee the accuracy, completeness, appropriateness or authenticity of any content you obtain on the SUGO platform. In any case, we are not responsible for the content of any user. We are not responsible for the security and privacy of the content you upload and publish on the SUGO platform. We recommend that you pay attention to protecting your privacy and do not provide other users with sensitive information such as your mobile phone number and home address.

4.4 You understand and agree that you are fully responsible for your own actions. SUGO has the right to stop or deal with any behavior that may violate the laws and regulations of all possible applicable places or the provisions of this Agreement based on reasonable judgment, SUGO's handling methods include but are not limited to:

(1) delete or disconnect your content without prior notice;

(2) take emergency action on your account, such as blocking your account;

(3) terminate all or part of SUGO's services to you and pursue your legal liability in accordance with the law. If your behavior constitutes a criminal offense, we reserve the right to refer the matter and your violation to any applicable legal authorities and cooperate with them;

4.5 You understand and agree that you are solely responsible for your actions. In certain circumstances, we have the right to disclose your information to any third party who claims that the content you posted to SUGO constitutes an infringement of their legal rights. You shall be solely responsible for any and all liability arising out of such claims.

4.6 You understand and agree that if any improper behavior of yours results in complaints, claims or administrative penalties against SUGO, you shall compensate SUGO for all losses suffered.

4.7 If you find that other users on SUGO have any behavior/content that is prohibited by us or that makes you uncomfortable, we encourage you to file a complaint with us and we will handle and handle your complaint in a timely manner.

5. Data Security

When you use SUGO, you may need to provide your information so that we can provide you with better services and corresponding technical support. For more information about information protection, we encourage you to review the “SUGO's Privacy Policy” in a timely manner.

6. Paid Services

You promise that you are able to spend money independently according to local laws.

6.1 When you use SUGO, you may use SUGO paid services (such as live broadcast rewards). For paid services, you need to use third-party payment tools accepted by SUGO to complete the payment. When using third-party payment tools to make payments, you must also comply with the third-party's service rules and complete online payments in the methods and currencies accepted by the third-party payment tools.

6.2 When you make a payment, these third-party payment tools may ask you to provide certain information in order to make payments through their financial institutions and comply with applicable international, national, federal, state and local laws and regulations.

6.3 You understand and agree that we cannot guarantee the security, accuracy, effectiveness and timeliness of third-party payment tools, nor can we provide any guarantee for third-party payment tools. We do not assume any responsibility for any disputes or losses caused by your use of third-party payment tools.

6.4 You understand and confirm that, based on the characteristics of Internet products, we will provide you with paid services, such as membership services and virtual props. Once the transaction is completed, such payment cannot be revoked, refunded, or reversed. At the same time, our paid services are only sold on the SUGO official platform.

6.5 Your use of the paid service is limited to lawful purposes within the Service and must always comply with all applicable laws. For example, virtual items (such as diamonds, points, etc.) cannot be traded, cannot be exchanged for the legal currency of any country or region, and cannot be used for any form of investment or transfer.

6.6 You guarantee that the source of funds for purchasing paid services is legal and compliant.

7. Intellectual Property

7.1 We own all intellectual property rights of SUGO, including but not limited to software, technology, programs, web pages, text, images, audio, video, etc. We own the copyright, patents and other intellectual property rights of the software on which we provide.

7.2 Please do not use any trademark, service mark, trade name, domain name, website name or other brand logo (collectively referred to as "Logo") related to "SUGO" and the SUGO brand without authorization under any circumstances. Otherwise, if you cause losses to us or others due to your violation of this Agreement and use of the Logos, you shall bear all legal responsibilities.

7.3 You understand and promise that the content you publish when using SUGO, including but not limited to text, pictures, videos, audio and other forms of content, should all be original works of you or you have been legally authorized to do so. You grant us a global, free, non-exclusive, multi-level relicensable right for all forms of content you upload and publish through SUGO. In order to better protect your rights, you confirm that we have the right to protect the content you upload and publish and have intellectual property rights by ourselves or by entrusting a third party in accordance with the authorization in the preceding paragraph.

8.Disclaimer and Limitation of Liability

8.1 Our services are provided on an "as is" and "as available" basis. Although we make every effort to ensure the continuity and security of the service, we do not represent or warrant that:

(1) the Service will always be secure, error-free or timely;

(2) the Service will always operate normally and will not be affected by delays, interruptions or defects;

(3) any content or information you obtain from SUGO will be timely or accurate;

(4) the services provided can meet your needs.

8.2 We are not responsible for any loss or damage arising from:

(1) force majeure and other factors beyond our control;

(2) any changes we make to SUGO or certain features of SUGO, or any permanent or temporary suspension;

(3) any content you upload, post or transmit on SUGO is deleted, damaged or lost;

(4) you fail to provide us with accurate account information, abuse our services or violate these Terms;

(5) we have fulfilled certain duty of care but still cannot avoid it;

(6) we are unable to do it based on existing technical means;

8.3 In no event shall SUGO be liable for any indirect or consequential damages or losses that you may suffer, regardless of the cause and regardless of the theory of liability, and whether or not SUGO has been advised of the possibility of such damages.

8.4 You acknowledge and accept that our entire liability to you, regardless of the cause and form of action, shall not exceed the fees paid by you for the use of our services.

8.5 You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of SUGO or these Terms must be filed within one year after such claim or cause of action arose or be forever barred.

9.Jurisdiction

Any dispute arising out of or in connection with the terms of this Agreement, including but not limited to any question regarding its existence, validity, interpretation, enforcement or termination, shall be submitted to the Hong Kong International Arbitration Centre (hereinafter referred to as "HKIAC") and finally settled by arbitration in accordance with the HKIAC Arbitration Rules then in force. The arbitration proceedings shall be conducted in English.

10.Others

10.1 [Complaints] We attach great importance to your user experience. You can also contact us via contact@sugochat.com. We will respond to your feedback in a timely manner.

10.2 [Independence of Clauses] Each clause of this Agreement is deemed to be an independent and separable part. If a specific clause in this Agreement is deemed to be invalid, illegal or unenforceable for any reason (including but not limited to violation of local laws and regulations, ambiguity or unenforceability, etc.), such invalidity, illegality or unenforceability shall not affect or weaken the legality, validity and enforceability of the remaining clauses of this Agreement.

10.3 [Text Conflict] This Agreement is made in English and may be provided to you in other languages. You acknowledge and agree that if there are conflicts between the English version and other language versions, the English version prevails..
